Program Description: Most home health and hospice providers have one or two experiences at buying or
selling an agency. This can make the task daunting, confusing, frustrating, and just downright confounding. This presentation reveals an
open discussion between an experience mergers and acquisitions broker and an experienced mergers and acquisitions attorney in the home health and hospice fields. Both discuss:
why someone might want to sell their agency
why someone might want to buy an agency
when someone might not want to sell their agency
when a potential purchaser may decide if a particular agency is worth what the seller wants
While they discuss the regulatory ins and outs of the process, they will also discuss the practical side in making a decision to either buy or sell an agency.

Troy Brooks, Esq a former Assistant General Counsel for the Texas Department of Human Services, the predecessor agency of the
Texas Health and Human Services Commission has practiced almost exclusively in the area of non-acute long term care in Texas and throughout the country. This year marks Mr. Brooks 20th year of
practicing law. He began as a judicial clerk for the Honorable B. Dexter Ryland, Chief Judge of Louisiana’s 9th Judicial District Court. Mr. Brooks now has his own firm, The
Brooks Law Group, which provides a full range of services for healthcare providers throughout Texas and the rest of the country. In the words of Mr. Brooks, “we don’t have the sense to
tell a healthcare provider we won’t help them with something. From corporate law, mergers and acquisitions, ADRs, RACS, ZPICs, UPICs and licensure issues, we do it all.”
About the Presenter:
Mark Kulik Kulik joined The Braff Group in 2008 as a Managing Director successfully completing over a
half billion dollars in transactions. His experience spans nearly 40 years in the health care and home health care industries. He ranks among less than 100 U.S. professionals
certified as a Merger & Acquisition Master Intermediary. He also is a Certified Merger & Acquisition Professional.
Mark has national responsibility for home health care, home care, hospice, and private duty markets. He and his team are responsible for the
comprehensive representation of each client throughout the entire transaction process including pre-market due diligence, buyer development, marketplace presentation,
deal negotiation, contract finalization, and closing. He has represented a full range of sellers including public companies, large regional home health & hospice
corporations, multi-division home health care conglomerates, and private duty agencies including both for-profit and not-for-profit entities.
Mark graduated from Fordham University with honors in Economics and Finance. He is an Advisory Board member of the Home Health Finance

Brandis Wilmore is the founder and Administrator of Be Healthy at Home, a licensed and certified home health agency located in Buda, TX.
Her background is emergency medicine where she started her career as an EMT in Austin. She continued her education in the field of nursing and worked in many areas of the acute system which eventually lead her to home health.
She is a graduate of Texas State University in San Marcos with a focus in Business Administration. She currently sits on the Board for TAHCH and represents Small Agency. She also is the Chair for the Medicare/Hospice Committee.
Brandis is currently the disaster coordinator for her agency and works closely with her local CERT team to anticipate and act on her emergency preparedness plan for her clients and staff.

Kimberly R. Stuart practices appellate law, commercial litigation, and employment and labor law.
As the oldest of her generation in a very large Italian family from Brooklyn (who got to Texas as quickly as she could), Kimberly learned early that to be heard,
you have to get into the action, make your point quickly, and be ready to defend it. Kimberly puts this experience to use in her practice by dealing with her clients
openly and frankly. Kimberly’s representative employment law experience includes successfully defending employers in FLSA wage actions and Title VII litigation.
An important part of Kimberly’s practice is helping her clients avoid litigation altogether through reviewing contracts, conducting self-audits to ensure regulatory
compliance, and assisting clients with best practices training and compliance. In her employment practice outside the courtroom, Kimberly handles all varieties of
employment disputes, including claims of discrimination, retaliation, harassment, wrongful termination, breach of contract, and employment-related torts.

Part One: Now that the Texas State of Emergency for the COVID-19 Pandemic has technically ended,
it’s time to look back at the massive effects it had on our industry. In this presentation, we will recap the changes and adaptations that we as home
care providers had to implement during the global event in order to continue to do business, including Emergency Preparedness, Infection Control,
OSHA ETS, CDC requirements, Blanket Waivers, staffing shortages, and government assistance programs.
Part Two: As we in home care always do, we’ve adapted and overcome every challenge thrown at us during the past 2 years and 8 months. In this presentation,
let’s not dwell on the past, but learn from it and move forward with a new level of resilience. We’ll discuss a new way of doing some things, and which protocols are

Holly is a member of the NHPCO’s Regulatory Committee, Managed Care Advisory Committee, CMS Regional Task Force and Chairs the Medicaid Task Force. Dr. Swiger also serves on the Public Policy Committee for the Hospice associations in Texas, California, Kansas and Missouri. Rebecca McMinn, BSN, RN, MBA brings twenty-five years of experience in the hospice field to the Texas based home health and hospice consulting firm, HealthCare ConsultLink. the introduction of the Notice of Admission. RAPs will have NO associated reimbursement in 2021, but will carry a monetary penalty if not filed timely. The Notice of Admission
completely eliminates that RAP and carries a penalty that could erase all payments for the entire time you have cared for the patient! Preparation is KEY!

vision and growth of the fastest-growing senior care agency in Central Texas. As a seasoned professional with over 27 years of experience in nursing and clinical operations, Jennifer is known for compassionate care
and maximizing operational excellence. Prior to starting her own business, Jennifer served as the Regional Executive Director at Altus Hospice where she increased sales 300% and tripled the average daily census in
two and a half years. Before her work with Altus, Jennifer was the Nurse Manager of Operations at Duke University Hospital where she managed the daily operations of three ambulatory clinics serving 36,000 patients
per year. The initiatives Jennifer led during her tenure resulted in a 75% reduction in fall rates during a six-month period. Jennifer began her nursing career learning industry best practices at the world-class C

Marcylle Combs After over 30 years in home health care and hospice, holding many positions
including field nurse, director, administrator and owner/president of a successful home health and hospice company, Marcylle sold her business to embark on new opportunities.
She has since founded 3 companies, serving as President over The Marcylle Combs Company, MAC Legacy Investments, a real estate development company and MAC Legacy – a
home health care and hospice resource company. Marcylle is well known in Texas and nationally for her leadership in both the home care and hospice community. She has
served on the TAHCH Government Affairs Committee since the ‘90s and is currently serving on the board of directors for The Home Care and Hospice Financial Managers
Association (HHFMA); a professional organization bringing together CFOs, CEOs, COOs and other financial positions who are employed by the nation’s 25,000 home care and
hospice agencies. She also chairs the Women in Leadership group for HHFMA. She enjoys speaking on various subjects such as mentoring, leadership and communication.
