Program Description: Most home health and hospice providers have one or two experiences at buying or selling an agency. This can make the task daunting, confusing, frustrating, and just downright confounding. This presentation reveals an open discussion between an experience mergers and acquisitions broker and an experienced mergers and acquisitions attorney in the home health and hospice fields. Both discuss:

  • why someone might want to sell their agency
  • why someone might want to buy an agency
  • when someone might not want to sell their agency
  • when a potential purchaser may decide if a particular agency is worth what the seller wants

While they discuss the regulatory ins and outs of the process, they will also discuss the practical side in making a decision to either buy or sell an agency.

About the Presenter:
Troy Brooks, Esq
a former Assistant General Counsel for the Texas Department of Human Services, the predecessor agency of the Texas Health and Human Services Commission has practiced almost exclusively in the area of non-acute long term care in Texas and throughout the country. This year marks Mr. Brooks 20th year of practicing law. He began as a judicial clerk for the Honorable B. Dexter Ryland, Chief Judge of Louisiana’s 9th Judicial District Court. Mr. Brooks now has his own firm, The Brooks Law Group, which provides a full range of services for healthcare providers throughout Texas and the rest of the country. In the words of Mr. Brooks, “we don’t have the sense to tell a healthcare provider we won’t help them with something. From corporate law, mergers and acquisitions, ADRs, RACS, ZPICs, UPICs and licensure issues, we do it all.”

About the Presenter:
Mark Kulik
Kulik joined The Braff Group in 2008 as a Managing Director successfully completing over a half billion dollars in transactions. His experience spans nearly 40 years in the health care and home health care industries. He ranks among less than 100 U.S. professionals certified as a Merger & Acquisition Master Intermediary. He also is a Certified Merger & Acquisition Professional.

Mark has national responsibility for home health care, home care, hospice, and private duty markets. He and his team are responsible for the comprehensive representation of each client throughout the entire transaction process including pre-market due diligence, buyer development, marketplace presentation, deal negotiation, contract finalization, and closing. He has represented a full range of sellers including public companies, large regional home health & hospice corporations, multi-division home health care conglomerates, and private duty agencies including both for-profit and not-for-profit entities.

Mark graduated from Fordham University with honors in Economics and Finance. He is an Advisory Board member of the Home Health Finance Management Association, served on the board of the Home Care Technology Association of America, and has chaired the Southeast AeA Sales & Marketing assembly.
